NoodApp Terms of Use

Please read these Terms of Use ("Terms") carefully before using the NoodApp mobile application and web platform (collectively, the "Service") operated by Next Innovation Africa Ltd ("NoodApp", "we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service. NoodApp is owned and operated by Next Innovation Africa Ltd, duly registered in Ghana.

1. Introduction to NoodApp

NoodApp is an Emergency Services Request App designed to connect users with various emergency services such as towing, mechanic assistance, ambulance, police, and fire services. Our Service also includes features like AI Assistance Chat, an Accident Heatmap, Road Incident Reporting, Emergency Alerts, and an integrated Shop.

2. User Accounts

2.1 Account Creation and Eligibility

To use most features of the Service, you must register for an account. You must be at least 18 years old and have the legal capacity to enter into a binding agreement to create an account. There are two main types of users on NoodApp:

  • Consumer User: Individuals who request emergency services and use the app's functionalities.
  • Service Provider User: Individuals or businesses operating towing, mechanic, private ambulance services, or selling products on the app, who respond to requests.

All users must first register as a Consumer User before they can apply to become a Service Provider User.

2.2 Account Responsibilities

You are responsible for:

  • Providing accurate, current, and complete information during registration and maintaining its accuracy.
  • Maintaining the confidentiality of your account password and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your password or account.
  • Ensuring that your registered phone number is OTP-verified and remains active.

We reserve the right to suspend or terminate your account if any information provided is found to be inaccurate, incomplete, or if you violate these Terms.

3. Service Provider Specific Terms

If you register as a Service Provider User, the following additional terms apply:

3.1 Verification Process

As part of your registration as a Service Provider, you must provide:

  • Business registration certificate.
  • Government-issued ID for the contact person.
  • For Towing and Ambulance Services: Vehicle registration document, Proof of Insurance, and Driver’s license.

You agree to undergo and pass our verification process, which may include background checks and document validation. We reserve the right to approve or reject any Service Provider application at our sole discretion.

3.2 Obligations

As a Service Provider, you agree to:

  • Provide services promptly, professionally, and in accordance with all applicable laws and regulations.
  • Maintain all necessary licenses, permits, and insurance required to operate your business and provide your services.
  • Ensure the accuracy of all information provided to NoodApp and to Consumer Users.
  • Allow NoodApp to access your real-time location data when you are online and available for service, to facilitate efficient dispatching of requests.
  • Maintain high standards of service quality and customer satisfaction.

3.3 Compliance

You are solely responsible for compliance with all local, regional, and national laws, regulations, and ordinances applicable to your services and business operations.

4. Use of the App

4.1 Permitted Use

You agree to use the Service only for lawful purposes and in accordance with these Terms.

4.2 Prohibited Conduct

You agree not to:

  • Use the Service for any illegal or unauthorized purpose.
  • Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.
  • Engage in any activity that interferes with or disrupts the Service or the servers and networks connected to the Service.
  • Attempt to gain unauthorized access to any portion of the Service, other accounts, computer systems, or networks connected to the Service.
  • Upload or transmit any malicious code, viruses, or other harmful components.
  • Collect or store personal data about other users without their express consent.
  • Use the AI Assistance Chat for any purpose other than seeking general advice related to emergency situations.
  • Misuse the Accident Heatmap or Road Incident Reporting features, including submitting false or misleading information.
  • Engage in any form of harassment, abuse, or discriminatory behavior towards other users or NoodApp personnel.

4.3 Intellectual Property

The Service and its original content (excluding user-provided content), features, and functionality are and will remain the exclusive property of Next Innovation Africa Ltd and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Next Innovation Africa Ltd.

4.4 AI Assistance Chat

The AI Assistance Chat provides AI-driven advice and service recommendations. This advice is for informational purposes only and should not be considered professional or legal advice. Always exercise your own judgment and verify information with qualified professionals. NoodApp is not responsible for any actions taken based on the AI's recommendations.

4.5 Accident Heatmap

The Accident Heatmap is provided for informational purposes to help users plan safer routes. While we strive for accuracy, the data presented may not always be real-time, complete, or entirely accurate. NoodApp is not liable for any reliance on this data.

4.6 Report Road Incidence

When reporting road incidents, you agree to provide accurate information to the best of your knowledge and in good faith. False or malicious reports may lead to account suspension.

4.7 Emergency Alerts

Emergency Alerts are provided for timely local information regarding traffic, weather, and public safety. NoodApp strives to provide accurate and timely alerts but cannot guarantee their infallibility or immediate delivery in all circumstances.

4.8 Shop Functionality

When purchasing products from the NoodApp shop:

  • All sales are final unless otherwise stated in our return policy (which will be made available on the shop section).
  • Product descriptions and pricing are subject to change without notice.
  • NoodApp is not responsible for the quality, safety, or suitability of products sold by third-party vendors through the shop.

5. Payments and Fees

  • Service Fees: Consumer Users may be charged fees for emergency services requested through the app, as agreed upon with the Service Provider. NoodApp may facilitate these payments and may charge a commission or platform fee.
  • Shop Purchases: Purchases made through the NoodApp shop will be subject to the listed prices and applicable taxes.
  • Payment Processing: All payments are processed through secure third-party payment gateways. NoodApp does not store your full payment card details.
  • Refunds: Refund policies for services and shop items will be determined by the respective Service Providers or shop vendors, or by NoodApp in specific circumstances, as outlined in separate policies.

6. Disclaimers and Limitation of Liability

6.1 Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. NoodApp makes no warranties, express or implied, regarding the Service, including but not to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance. NoodApp does not warrant that:

  • The Service will be uninterrupted, secure, or available at any particular time or location.
  • Any errors or defects will be corrected.
  • The Service is free of viruses or other harmful components.
  • The results of using the Service will meet your requirements.
  • The quality, suitability, or availability of services provided by Service Providers will meet your expectations.

6.2 Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall Next Innovation Africa Ltd, its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of or inability to access or use the Service.
  • Any conduct or content of any third party on the Service.
  • Any content obtained from the Service.
  • Unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

6.3 Force Majeure

NoodApp shall not be liable for any delay or failure in performance resulting from causes beyond its reasonable control, including, without limitation, acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

7. Indemnification

You agree to defend, indemnify, and hold harmless Next Innovation Africa Ltd and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not to attorney's fees), resulting from or arising out of:

  • Your use and access of the Service, by you or any person using your account and password.
  • A breach of these Terms.
  • Your violation of any rights of another party, including but not to Service Providers or other users.
  • Your violation of any applicable law, rule, or regulation.

8. Governing Law and Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of Ghana, without regard to its conflict of law provisions. Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or invalidity thereof shall be settled by arbitration in accordance with the rules of a recognized arbitration body in Ghana, as mutually agreed upon by the parties. The language of the arbitration shall be English. The decision of the arbitrator(s) shall be final and binding on both parties.

9. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.

10. General Provisions

  • Severability: If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
  • Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and NoodApp regarding our Service and supersede and replace any prior agreements we might have between us regarding the Service.
  • Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and NoodApp's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
